1. Agreement to Terms

By accessing or using the Cogniviso platform ("Service"), operated by Cogniviso ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Cogniviso is an AI-powered video intelligence platform that provides video analysis, transcription, scene detection, object recognition, semantic search, and related services. The Service uses third-party AI models including third-party AI services for content analysis.

3. Account Registration

To use certain features, you must register for an account. You agree to provide accurate information, maintain the security of your credentials, and notify us immediately of any unauthorized access. You are responsible for all activity under your account.

4. Subscription & Billing

Paid plans are billed monthly through our payment processor, Paddle. Paddle acts as the Merchant of Record for all transactions. By subscribing, you agree to Paddle's terms of service. Prices are displayed in USD and may be subject to applicable taxes as determined by Paddle.

Subscriptions auto-renew unless cancelled before the end of the current billing period. Plan limits (videos, storage, AI tokens) reset at the beginning of each billing cycle.

5. Acceptable Use

You agree not to:

• Upload content that infringes on intellectual property rights
• Upload illegal, harmful, or objectionable content
• Attempt to reverse engineer, decompile, or circumvent security measures
• Use the Service for automated scraping or data collection without authorization
• Share account credentials or allow unauthorized access
• Resell or redistribute the Service without written consent

6. Intellectual Property

You retain all rights to the content you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and store it for the purpose of providing the Service. The Cogniviso platform, its design, code, and AI models are the intellectual property of the Company.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. We process your data as described therein. Video content is processed using third-party AI services and is subject to their respective data handling policies. Privacy Policy.

8. Service Availability & Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice. We will provide at least 30 days' notice for material changes.

9. Limitation of Liability

To the maximum extent permitted by law, Cogniviso shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time. We may suspend or terminate your access for violation of these Terms. Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination, after which it will be permanently deleted.

11. Governing Law

These Terms are governed by the laws of the European Union and the applicable member state where the Company is registered. Any disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
